Mentor User Agreement

This Agreement applies to all registered mentors ("Mentors," "you," or "your") who use the Mentors Gate platform ("Platform") provided by Mentors Gate Inc. ("Mentors Gate," "we," "us," or "our"). This Agreement outlines the terms and conditions for your use of our Platform services.

1. Introduction and Scope

Mentors Gate provides a platform that connects clients with independent professional experts across various academic and professional domains. By registering as a Mentor, you agree to offer your services to clients through our Platform according to these terms.

2. Registration Requirements

To register as a Mentor, you must:

• Be at least 18 years old
• Provide accurate, current, and complete profile information
• Possess the qualifications, experience, and expertise you claim
• Maintain and update your profile information as needed
• Comply with verification procedures as may be required

3. Independent Contractor Status

You acknowledge and agree that:

• You are an independent contractor and not an employee of Mentors Gate
• You are solely responsible for your tax obligations and business expenses
• You are not entitled to any employee benefits from Mentors Gate
• No agency, partnership, joint venture, or employment relationship is created

4. Service Delivery

As a Mentor, you agree to:

• Provide services with reasonable skill, care, and diligence
• Deliver work that meets the specifications agreed upon with clients
• Respond to client communications in a timely manner
• Meet agreed-upon deadlines and project milestones
• Maintain confidentiality of client information and project details

5. Payment Terms

Payment processing and structure:

• Mentors Gate facilitates payments between clients and mentors
• Platform fees will be deducted from payments as specified in your account
• Payments are processed according to the milestone schedule agreed upon
• We reserve the right to withhold payment in case of suspected violations of these terms
• You may not receive payment outside the Platform for services initiated on the Platform

6. Intellectual Property

Regarding intellectual property rights:

• You retain ownership of pre-existing intellectual property
• Upon full payment, clients receive the rights to deliverables as specified in project agreements
• You may not use third-party intellectual property without proper authorization
• You grant Mentors Gate limited rights to display your profile and work samples

7. Confidentiality

You agree to:

• Maintain strict confidentiality of all client information
• Use client information solely for the purpose of providing agreed services
• Implement reasonable security measures to protect client data
• Continue to maintain confidentiality after project completion

8. Non-Circumvention

You agree not to:

• Attempt to circumvent the Platform to avoid fees
• Solicit clients you've met through the Platform to contract directly outside the Platform for 24 months
• Encourage clients to communicate or pay outside the Platform

9. Code of Conduct

You agree to:

• Act with professionalism and integrity
• Refrain from deceptive, fraudulent, or unethical practices
• Not engage in harassment, discrimination, or threatening behavior
• Not provide illegal services or promote illegal activities
• Not impersonate others or misrepresent your qualifications

10. Term and Termination

This Agreement:

• Remains in effect while you are registered as a Mentor
• May be terminated by you by deactivating your account
• May be terminated by us if you violate these terms or our policies
• Certain obligations survive termination (confidentiality, non-circumvention, etc.)

11. Limitation of Liability

To the maximum extent permitted by law:

• Mentors Gate is not liable for indirect, consequential, incidental, or special damages
• Our aggregate liability is limited to fees paid by you to us in the 12 months prior to the claim
• We do not guarantee continuous, uninterrupted access to the Platform

12. Dispute Resolution

For dispute resolution:

• You agree to first attempt to resolve disputes directly with Mentors Gate
• Unresolved disputes shall be settled through binding arbitration
• The arbitration will be conducted in [Location] under [Applicable Rules]
• Class actions and representative proceedings are waived

13. Modifications to Agreement

Mentors Gate may modify this Agreement with:

• Reasonable notice of material changes
• Changes effective upon posting or specified date
• Your continued use constituting acceptance of changes

14. Governing Law

This Agreement is governed by the laws of [Jurisdiction] without regard to conflict of law principles.

By registering and using our Platform as a Mentor, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
