Mentee/Client User Agreement

This Agreement applies to all registered clients and mentees ("Clients," "Mentees," "you," or "your") who use the Mentors Gate platform ("Platform") provided by Mentors Gate Inc. ("Mentors Gate," "we," "us," or "our"). This Agreement outlines the terms and conditions for your use of our Platform services.

1. Introduction and Scope

Mentors Gate provides a platform that connects clients with independent professional experts (Mentors) across various academic and professional domains. By registering as a Client, you agree to engage Mentors through our Platform according to these terms.

2. Registration Requirements

To register as a Client, you must:

• Be at least 18 years old or have parental/guardian consent
• Provide accurate, current, and complete account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Ensure all information provided complies with applicable laws

3. Platform Services

Our Platform provides the following services:

• Access to a network of verified expert Mentors
• Project management tools for communication with Mentors
• Secure payment processing for mentorship services
• Dispute resolution assistance when necessary
• Rating and feedback systems for quality assurance

4. Project Engagements

When engaging Mentors, you agree to:

• Clearly define project requirements and expectations
• Provide necessary information for Mentors to fulfill services
• Respond to Mentor communications in a timely manner
• Review deliverables within reasonable timeframes
• Provide honest and constructive feedback

5. Payment Terms

Payment processing and responsibilities:

• You agree to pay the fees for services agreed upon with Mentors
• Payments are processed securely through our Platform
• Funds may be held in escrow until project milestones are completed
• You are responsible for any taxes applicable to your purchases
• Refunds are handled according to our Refund Policy and project agreements

6. Intellectual Property

Regarding intellectual property rights:

• You retain ownership of materials you provide to Mentors
• Upon full payment, you receive rights to deliverables as specified in project agreements
• You are responsible for ensuring you have rights to materials shared with Mentors
• You may not use the Platform to infringe on others' intellectual property rights

7. Confidentiality

You agree to:

• Maintain confidentiality of proprietary Mentor information received through the Platform
• Not disclose sensitive information about Mentors to third parties
• Use information provided by Mentors solely for the agreed-upon purposes

8. Non-Circumvention

You agree not to:

• Attempt to circumvent the Platform to avoid fees
• Solicit Mentors you've met through the Platform to contract directly outside the Platform for 24 months
• Encourage Mentors to communicate or receive payment outside the Platform

9. Code of Conduct

You agree to:

• Treat Mentors with professionalism and respect
• Not engage in harassment, discrimination, or abusive behavior
• Not request services involving illegal activities or unethical practices
• Not use the Platform to distribute harmful content or malware
• Not attempt to manipulate ratings or reviews

10. User Content

Regarding content you share on the Platform:

• You retain ownership of your content
• You grant us a license to use your content to operate the Platform
• You are solely responsible for the content you share
• We reserve the right to remove content that violates our policies

11. Term and Termination

This Agreement:

• Remains in effect while you have an active account
• May be terminated by you by closing your account
• May be terminated by us if you violate these terms
• Certain obligations survive termination (payment, intellectual property, etc.)

12. Limitation of Liability

To the maximum extent permitted by law:

• Mentors Gate is not liable for indirect, consequential, incidental, or special damages
• Our aggregate liability is limited to fees paid by you to us in the 12 months prior to the claim
• We do not guarantee the quality or accuracy of Mentor services
• We are not responsible for disputes between you and Mentors, though we may assist in resolution

13. Dispute Resolution

For dispute resolution:

• You agree to first attempt to resolve disputes directly with Mentors Gate
• Unresolved disputes shall be settled through binding arbitration
• The arbitration will be conducted in [Location] under [Applicable Rules]
• Class actions and representative proceedings are waived

14. Modifications to Agreement

Mentors Gate may modify this Agreement with:

• Reasonable notice of material changes
• Changes effective upon posting or specified date
• Your continued use constituting acceptance of changes

15. Governing Law

This Agreement is governed by the laws of [Jurisdiction] without regard to conflict of law principles.
